Knowledge Anywhere – Terms of Use for Purchased E-Learning Courses

Please read these Terms of Use carefully before purchasing and accessing any e-learning courses offered by Knowledge Anywhere (“Knowledge Anywhere,” “we,” “us,” or “our”) through our website, www.knowledgeanywhere.com (the “Website”). By completing a purchase, downloading, accessing, or using our e-learning courses (the “Courses”), you (“you” or the “Purchaser”) agree to be bound by these terms. If you do not agree to these terms, you may not purchase, download, access, or use the Courses.

1. License Grant and Scope of Use

Upon valid purchase and payment of the applicable fees, Knowledge Anywhere grants you a non-exclusive, non-transferable, perpetual, and revocable license to access and use the specific Course(s) you have purchased, subject to the terms and conditions of this Agreement.

• Sole Use: The purchased Course(s) are for the sole educational and training purposes of the individual or the internal training needs of the specific legal entity that made the purchase. This license does not extend to any parent companies, subsidiaries, affiliates, or other related entities unless explicitly agreed upon in a separate written agreement with Knowledge Anywhere.
• Permitted Use: For individual purchasers, you may access and utilize the Course(s) for your own personal learning and development. For organizational purchasers, you may permit your employees or authorized personnel within your organization to access and complete the Course(s) for your internal training purposes. The number of authorized users may be limited based on the specific purchase terms (e.g., site license).

2. Prohibited Uses

You are expressly prohibited from engaging in the following activities:

• Resale or Redistribution: You may not sell, resell, license, sublicense, lease, rent, lend, assign, or otherwise transfer, distribute, or make the Course(s) available to any third party, whether for profit or non-profit, without the express prior written consent of Knowledge Anywhere. This includes, but is not limited to, posting the Course(s) on public or private networks, sharing login credentials (if applicable), or incorporating the Course(s) into other products or services for resale.
• External Sharing: You may not share, provide, or otherwise make the Course(s) or any part thereof, including any associated materials, available to any individuals or organizations outside of the specific individual or legal entity that originally purchased the Course(s).
• Modification and Derivative Works (SCORM Packages): For Courses provided as SCORM packages (final compiled versions), you are prohibited from decompiling, reverse engineering, disassembling, or otherwise attempting to derive the source code or create derivative works based upon the Course(s), except to the extent expressly permitted by applicable law.
• Modification and Derivative Works (Articulate Storyline 360 Source Packages): If you purchase an Articulate Storyline 360 Source Package, you are granted the right to modify and customize the Course(s) for your own internal use within the purchasing individual or entity. However, you remain prohibited from:
  • Removing or altering any copyright notices, trademarks, or other proprietary markings included in the original source files.
  • Using the modified Course(s) for resale, redistribution, or external sharing as outlined in this Section 2.
  • Creating derivative works based on the Course(s) for the purpose of commercial exploitation or distribution to third parties outside of your organization.
• Infringement of Intellectual Property: You may not use the Course(s) in any manner that infringes upon the intellectual property rights of Knowledge Anywhere, including but not limited to copyright, trademarks, trade secrets, and patents.
• Circumvention of Security Measures: You may not attempt to circumvent, disable, or defeat any security features or technical limitations designed to prevent unauthorized access, use, copying, or distribution of the Course(s).

3. Intellectual Property Rights

The Courses, including but not limited to their design, structure, content, text, graphics, images, videos, audio, software, and underlying code, are owned by Knowledge Anywhere or its licensors and are protected by copyright, trademark, and other intellectual property laws of the United States and other jurisdictions. Your purchase grants you a limited license to use the Courses as expressly set forth in this Agreement, and you acknowledge that you acquire no ownership rights in or to the Courses.   

4. No Guarantee of Updates

Knowledge Anywhere provides the Courses on an “as-is” basis as they exist at the time of purchase. We do not guarantee any ongoing updates, revisions, enhancements, or support for the purchased Courses. Any future updates or new versions of the Courses may be offered separately for purchase, at Knowledge Anywhere’s sole discretion. For purchasers of the Articulate Storyline 360 Source Package, the responsibility for maintaining and updating the Course(s) after purchase lies solely with the Purchaser.

5. Disclaimer of Warranties

THE COURSES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. KNOWLEDGE ANYWHERE DOES NOT WARRANT THAT THE COURSES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU ACKNOWLEDGE THAT YOUR USE OF THE COURSES IS AT YOUR SOLE RISK.   

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KNOWLEDGE ANYWHERE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR PURCHASE, USE, OR INABILITY TO USE THE COURSES, EVEN IF KNOWLEDGE ANYWHERE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE COURSES SHALL NOT EXCEED THE AMOUNT YOU PAID TO KNOWLEDGE ANYWHERE FOR THE SPECIFIC COURSE(S) IN QUESTION.   

7. Indemnification

You agree to indemnify, defend, and hold harmless Knowledge Anywhere, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of this Agreement, your misuse of the Courses, or your infringement of any intellectual property or other rights of any third party.   

8. Termination

Knowledge Anywhere reserves the right to terminate your license to access and use the Courses immediately, without notice, if you violate any provision of this Agreement. Upon termination, you must cease all use of the Courses and destroy any copies in your possession or control.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, withoutregard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be exclusively brought in the state or federal courts located in Seattle, Washington, and you hereby consent to the jurisdiction of such courts.   

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Knowledge Anywhere with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.   

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.   

12. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of Knowledge Anywhere. Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.   

13. Updates to these Terms

Knowledge Anywhere reserves the right to modify or update these Terms of Use at any time without prior notice. Any changes will be effective immediately upon posting on the Website. Your continued use of the Courses after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically.  

By proceeding with your purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
